1. Introduction and Acceptance of Terms
Welcome to Digital ERP ("we," "us," "our"). These Terms and Conditions ("Terms") govern your use of our school management software, related applications, websites, and services (collectively, the "Service"). The Service is provided by Digital Education System.
By registering for, accessing, or using our Service, you, on behalf of the educational institution you represent ("you," "your," "Institution"), agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service. You represent and warrant that you have the legal authority to bind your Institution to these Terms.
2. Definitions
- "Service" refers to the Digital ERP software-as-a-service platform, including all its modules, features, tools, data, and accompanying documentation.
- "Institution" or "You" refers to the school, college, or any educational organization that registers for and uses the Service.
- "Authorized User" refers to an individual (such as an administrator, teacher, student, or parent) who is authorized by the Institution to access and use the Service under the Institution's account.
- "Institution Data" refers to any data, information, or material provided, submitted, or uploaded by the Institution or its Authorized Users to the Service, including but not limited to student records, staff information, academic data, and financial details.
- "Subscription" refers to the plan selected by the Institution to access the Service, which may be a Free Trial or a Paid Plan.
3. License to Use the Service
Subject to your compliance with these Terms and payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Service for your Institution's internal administrative and educational purposes during the term of your Subscription.
This license does not grant you any rights to our source code, and you agree not to, directly or indirectly: reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, object code, or underlying structure of the Service; modify, translate, or create derivative works based on the Service; or copy, rent, lease, distribute, or otherwise transfer any of the rights that you receive hereunder.
4. User Accounts and Responsibilities
The Institution is responsible for managing all Authorized User accounts associated with its Subscription. This includes creating, modifying, and deactivating accounts for administrators, staff, students, and parents.
You are responsible for:
- Maintaining the confidentiality of all login credentials for Authorized User accounts.
- All activities that occur under your Institution's accounts. You must notify us immediately of any unauthorized use of your accounts or any other breach of security.
- Ensuring that all Authorized Users comply with these Terms and all applicable laws and regulations.
- The accuracy, quality, and legality of all Institution Data. You are solely responsible for obtaining all necessary consents and permissions required to collect, process, and store Institution Data within the Service, especially concerning personal data of minors.
5. Free Trial and Paid Services
Free Trial: We may offer a free trial Subscription for a limited period (e.g., 3 months). During the free trial, the Service is provided "as-is" without any warranty. We reserve the right to modify or terminate the free trial offer at any time without prior notice. At the end of the trial period, your access to the Service may be suspended unless you upgrade to a Paid Plan.
Paid Plans and Fees: The Service is offered under various annual subscription plans ("Paid Plans") as detailed on our Pricing page. All fees are quoted in Indian Rupees (INR) and are exclusive of any applicable taxes, which you are responsible for paying.
Billing and Payment: By selecting a Paid Plan, you agree to pay the annual subscription fees in advance. Fees are non-refundable, except as required by law or as explicitly stated in these Terms. We reserve the right to change our pricing, but any price changes will only apply to subsequent subscription periods.
Promotional Offers: We may offer promotional pricing, such as the "Launch Offer" or "Early Bird Plan." These offers are time-sensitive and subject to specific eligibility criteria as described on our Pricing page. The promotional price is typically valid for the first annual subscription term only. Upon renewal, the standard pricing in effect at that time will apply.
6. Intellectual Property Rights
Our IP: We own and retain all right, title, and interest in and to the Service, including all underlying software, technology, trademarks, branding, and any derivative works. These Terms do not grant you any ownership rights to our intellectual property.
Your IP: You (the Institution) own and retain all right, title, and interest in and to your Institution Data. You grant us a worldwide, non-exclusive, royalty-free license to host, copy, transmit, and display your Institution Data as reasonably necessary for us to provide and maintain the Service in accordance with these Terms.
7. Data Privacy and Confidentiality
Our collection and use of personal information in connection with the Service are described in our Privacy Policy, which is incorporated by reference into these Terms. We are committed to protecting the privacy and security of your Institution Data.
We will implement and maintain appropriate technical and organizational measures to protect Institution Data against accidental or unlawful destruction, loss, alteration, unauthorized disclosure, or access. We will not access, use, or disclose your Institution Data except as required to provide the Service, to comply with the law, or as otherwise instructed by you.
8. Acceptable Use Policy
You agree not to use the Service to:
- Upload or transmit any data that is unlawful, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable.
- Violate the privacy rights or intellectual property rights of others.
- Transmit any viruses, worms, or other malicious code.
- Attempt to gain unauthorized access to the Service, other accounts, or computer systems connected to the Service.
- Interfere with or disrupt the integrity or performance of the Service.
We reserve the right to suspend or terminate your access to the Service if we determine, in our sole discretion, that you have violated this Acceptable Use Policy.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DIGITAL ERP, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, THAT RESULT FROM THE USE OF, OR INABILITY TO USE, THE SERVICE.
UNDER NO CIRCUMSTANCES WILL OUR TOTAL LIABILITY OF ANY KIND ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE (INCLUDING BUT NOT LIMITED TO WARRANTY CLAIMS), REGARDLESS OF THE FORUM AND REGARDLESS OF WHETHER ANY ACTION OR CLAIM IS BASED ON CONTRACT, TORT, OR OTHERWISE, EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU TO US FOR THE SERVICE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM.
10. Termination
You may terminate your Subscription at any time by providing written notice to us. Termination will be effective at the end of your current annual billing cycle, and you will not be entitled to a refund for any prepaid fees.
We may suspend or terminate your access to the Service if you materially breach these Terms and fail to cure such breach within thirty (30) days of receiving written notice from us. We may terminate your account immediately if your use of the Service poses a security risk or violates the law.
Upon termination, your right to use the Service will cease immediately. We will provide you with a reasonable opportunity to export your Institution Data.
11. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Patna, Bihar, India.
12. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
